Terms of Service

1. Who the agreement is with

Roster is provided by Charky Labs Pvt Ltd (CIN U58200TZ2024PTC033012, GSTIN 33AAMCC2561R1Z6), 4 Thendral Nagar, Vilankurichi P.O., Coimbatore 641035, Tamil Nadu, India ("we", "us").

The agreement is with the organisation that holds the Roster account (the "Customer"), not with each person who uses it. Whoever creates the account, chooses a plan or pays for it confirms that they are at least 18 and have the authority to bind that organisation to these terms.

2. The service

Roster helps a team record its working day: check-in and check-out, breaks, meetings, leave, tasks and plans, standups and reports, a team calendar, and on some plans team chat. What each plan includes is listed on the pricing section of roster.character.xyz, which forms part of these terms.

We improve Roster continuously and may change how features look or work. We will not remove a feature that your current paid plan lists during a period you have already paid for.

3. People in your organisation

Your organisation’s owners and admins invite people, decide which teams and apps they belong to, and are responsible for what the people they invite do in Roster.

Roster records when people start and stop work. You are responsible for having a lawful basis to do that for the people you invite, and for telling them how their workday is recorded and who in your organisation can see it. Privacy §4 describes who can see what.

4. Plans and prices

Free is for up to 3 people and the last 30 days of history, at no charge.

Essentials and Growth are priced per person per month. For organisations in India: Essentials ₹499 a month or ₹399 a month billed annually; Growth ₹899 a month or ₹749 a month billed annually, plus GST at the applicable rate (currently 18%), shown as its own line before you pay. For organisations outside India: Essentials $6 or $5 a month billed annually; Growth $11 or $9, with no Indian GST where the supply is an export of services.

Enterprise is priced per organisation and agreed in writing. Where an Enterprise agreement and these terms differ, the Enterprise agreement wins.

We may change prices. A change never applies to a period you have already paid for; we tell account admins at least 30 days before it applies to a renewal.

5. Payment, renewal and the number of people

Paid plans are paid in advance, monthly or annually, through our payment partner Razorpay, by card, UPI Autopay, e-mandate or netbanking. By starting a paid plan you authorise us, through Razorpay, to charge the chosen method at each renewal until you cancel. Your bank or UPI app may ask you to approve the mandate and will notify you before each debit, as Indian rules require.

You choose how many people to pay for. Adding more people is never blocked: Roster shows the count, and the next renewal charges for the people active on the account at that time. If a renewal charges for more people than you meant, Refunds §3 applies.

Invoices, including GST invoices for Indian organisations, are issued for every charge and are available to account admins.

6. Cancelling, and what happens if a payment fails

An account admin can cancel at any time from Settings on roster.character.xyz, or by writing to us. Cancelling stops the next renewal; the plan continues until the end of the period already paid for, and the account then moves to Free.

If a renewal payment fails, Razorpay retries it and admins are told. After 7 days without a successful payment the account moves to Free. Moving to Free never deletes your data: features Free does not include are hidden, and everything returns when a paid plan resumes.

7. Your data

Everything your organisation puts into Roster remains yours. We process it only to provide Roster to you, as the Privacy Policy describes, and never sell it.

An admin can ask us for an export of the organisation’s data at any time. If you close the account, we delete its data within 30 days, except records we must keep by law, such as invoices.

8. Acceptable use

• Do not use Roster for anything unlawful, or to monitor people in a way the law or your own agreements with them do not allow.
• Do not try to reach another organisation’s data, probe or overload the service, or get around plan limits or security.
• Do not resell Roster or offer it to others as your own service without a written agreement with us.

9. Availability and support

We aim to keep Roster available at all times but do not promise uninterrupted service except where an Enterprise agreement says so. Support is through the channel each plan lists on roster.character.xyz, with the response times published there: a public issue tracker on Free, and a private ticket to support@character.xyz on paid plans.

10. What belongs to whom

Roster, its software, design and name belong to us. Your data belongs to you. If you send us suggestions, we may use them without owing you anything for them.

11. Ending the agreement

You can end it at any time by cancelling and closing the account. We may suspend or end it if you seriously or repeatedly break these terms, or if payment remains outstanding after the account has moved to Free and you have asked for a paid feature back. Before ending it for a reason you can fix, we will tell you and give you a reasonable time to fix it.

12. Liability

Roster is provided with reasonable skill and care. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost data you could have exported, and our total liability for any claim is limited to the fees you paid us in the 12 months before it arose. Nothing here limits liability that cannot be limited by law.

13. Governing law and grievances

These terms are governed by the laws of India, and the courts at Coimbatore, Tamil Nadu, India have jurisdiction. Nothing here removes a right you have as a consumer to use the forum your law provides.

Our Grievance Officer is Zeno Saviour, reachable at hello@character.xyz or +91 72005 80713. We acknowledge a grievance within 24 hours and resolve it within 15 days.

14. Changes to these terms

When we change these terms materially, we tell account admins by email at least 30 days before the change applies, and the date above changes. Continuing to use Roster after that date means the organisation accepts the new terms.
